SERVICE AGREEMENT
This Service Agreement (the "Agreement") is made as of this day by and between the Service Provider and the Client (collectively, the "Parties").
1. Scope of Work
The Service Provider agrees to provide the following services:
* Delivery of professional consulting and technical support.
* Maintenance and updates as specified in the project roadmap.
* Regular progress reporting and performance reviews.
2. Fees and Payment
* Payment: The Client shall pay the agreed amount within 30 days of receiving the invoice.
* Expenses: Any additional out-of-pocket expenses must be pre-approved in writing.
3. Intellectual Property
All work product created by the Service Provider under this Agreement shall be the sole property of the Client upon full payment of fees.
4. Termination
Either party may terminate this Agreement with 14 days' written notice if the other party breaches its obligations.
5. Governing Law
This Agreement shall be governed by the laws of the jurisdiction where the Service Provider is registered.
